1. Introduction

Welcome to Fixed Price Dental (“we”, “us”, “our”), operated by Fix’d Group Pty Ltd (ABN 98 641 429 987). Fixed Price Dental is an online dental booking marketplace that connects dental practices with patients across Australia. By accessing or using our website at fixeddental.com.au and any associated applications, portals, or dashboards (the “Platform”), you agree to be bound by these Practice Terms of Service (“Terms”) on behalf of the dental practice you represent (the “Practice”). If you do not agree to these Terms, please do not use the Platform.

We may update these Terms from time to time. We will notify you of any material changes by posting the updated Terms on the Platform with a revised effective date or by notifying you via email. Your continued use of the Platform after such changes constitutes your acceptance of the updated Terms.

2. About the Platform

Fixed Price Dental provides a marketplace platform that enables dental practices to list their services, manage appointment availability, receive patient bookings, and have appointment reminders sent to patients via email and SMS on the Practice’s behalf.

Fixed Price Dental is not a dental provider and does not provide dental advice, diagnosis, or treatment. We act solely as an intermediary that facilitates connections between patients and dental practices. The Practice is solely responsible for the dental services it provides to patients.

3. Eligibility and Authority

To use the Platform, the Practice must be a registered dental practice operating lawfully in Australia with all necessary licences, registrations, and insurance required under applicable state, territory, and federal laws. The individual accepting these Terms represents and warrants that they have the authority to bind the Practice to these Terms.

4. Account Registration

To access the Platform, the Practice must create an account and provide accurate, current, and complete information, including the Practice’s name, address, contact details, practitioner information, and any other details we reasonably request. The Practice agrees to keep this information up to date at all times. The Practice is responsible for maintaining the confidentiality of its account credentials and for all activity that occurs under its account. The Practice must notify us immediately if it suspects any unauthorised use of its account.

5. Practice Listings

The Practice is responsible for the accuracy and completeness of all information displayed on its listing, including services offered, practitioner details, appointment availability, pricing, and location information. The Practice must not publish any content that is false, misleading, deceptive, or in breach of any applicable law, including the Australian Consumer Law. We reserve the right to remove or modify any listing content that we reasonably believe is inaccurate, misleading, or in breach of these Terms.

6. Appointment Bookings

When a patient books an appointment through the Platform, the Practice agrees to honour that booking in accordance with the availability and services listed. The Practice is responsible for managing its own schedule and ensuring that appointment slots displayed on the Platform are accurate and up to date. If the Practice needs to cancel or reschedule a patient’s appointment, the Practice must notify the patient as soon as reasonably practicable.

7. Reminders

We may send appointment reminders to patients on behalf of the Practice via email and/or SMS. These reminders are provided as a courtesy and we do not guarantee their delivery or accuracy. The Practice acknowledges that reminders do not replace the Practice’s own obligation to communicate with patients regarding their appointments.

8. Practice Obligations

The Practice agrees to: provide dental services to patients in a professional manner and in accordance with all applicable laws, regulations, and professional standards; maintain all required licences, registrations, accreditations, and professional indemnity insurance; comply with all applicable privacy laws, including the Privacy Act 1988 (Cth) and the Australian Privacy Principles, in respect of any patient personal information received through the Platform; not use the Platform for any unlawful purpose or in violation of any applicable law; not interfere with or disrupt the operation of the Platform; and not use automated tools, bots, or scrapers to access or collect data from the Platform without our prior written consent.

9. Patient Data

When a patient books an appointment with the Practice through the Platform, we share relevant booking details with the Practice, including the patient’s name, contact information, and appointment preferences. The Practice acknowledges that it becomes responsible for the handling of this patient information in accordance with the Privacy Act 1988 (Cth), the Australian Privacy Principles, and the Practice’s own privacy policy. The Practice must not use patient information obtained through the Platform for any purpose other than providing dental services and communicating with the patient in relation to their booking.

10. Fees and Payment

The fees payable by the Practice for use of the Platform will be set out in a separate agreement or schedule provided to the Practice. We reserve the right to update our fees from time to time with reasonable notice. Unless otherwise agreed, all fees are exclusive of GST. The Practice is responsible for collecting any fees for dental services directly from patients. Fixed Price Dental does not process payments between patients and practices.

11. Intellectual Property

All content on the Platform, including text, graphics, logos, icons, images, software, and design elements, is the property of Fixed Price Dental or its licensors and is protected by Australian and international intellectual property laws. The Practice may not reproduce, modify, distribute, or create derivative works from any content on the Platform without our prior written consent. The Practice grants us a non-exclusive, royalty-free licence to use the Practice’s name, logo, and listing content for the purpose of operating and promoting the Platform.

12. Disclaimer of Warranties

The Platform is provided on an “as is” and “as available” basis. To the maximum extent permitted by law, we disclaim all warranties, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or secure, or that any defects will be corrected. We do not guarantee any particular volume of patient bookings or enquiries.

13. Limitation of Liability

To the maximum extent permitted by Australian law, including the Australian Consumer Law, Fixed Price Dental shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, patients, or goodwill, arising out of or in connection with the Practice’s use of the Platform.

Fixed Price Dental is not liable for any acts, omissions, negligence, or misconduct of any patient or any other dental practice listed on the Platform. Any disputes regarding patient conduct must be resolved directly with the relevant patient.

Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy conferred on the Practice by the Australian Consumer Law or any other applicable law that cannot be excluded, restricted, or modified by agreement.

14. Indemnification

The Practice agrees to indemnify, defend, and hold harmless Fixed Price Dental, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with: the Practice’s use of the Platform; the Practice’s breach of these Terms; the dental services provided by the Practice to patients; any claim by a patient relating to the Practice’s services, conduct, or negligence; or the Practice’s violation of any applicable law, regulation, or professional standard, or the rights of any third party.

15. Termination

We may suspend or terminate the Practice’s access to the Platform at any time, with or without notice, for any reason, including if we reasonably believe the Practice has violated these Terms. The Practice may stop using the Platform and close its account at any time by contacting us. Upon termination, the Practice’s right to use the Platform will immediately cease. Any outstanding fees owed to Fixed Price Dental remain payable upon termination.

16. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Queensland, Australia. The Practice agrees to submit to the non-exclusive jurisdiction of the courts of Queensland for the resolution of any disputes arising out of or in connection with these Terms or the Practice’s use of the Platform.

17. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect.
